Message from the Chairman of the Board & Chief Executive Officer

 Konstantinos Papapolyzos

Chairman of the Board of Directors & Chief Executive Officer

2025 was an exceptional year for TREK, which has been operating since 1995 in Greece, the EU and third countries.

Not only did we more than double our net profitability (+117.63%), reaching profit before tax of € 1,646,736.00, but we also exceeded our own projections, a particularly important achievement that reflects our DNA: to speak little, promise even less, and deliver far more.

Similarly, we increased our sales by 28.69% compared to the previous fiscal year.

Completing the Company’s core financial profile, our total borrowing remains zero, while cash and cash equivalents as at 31 December 2025 amounted to € 4,289,308.46.

During 2025, we laid the foundations and are already seeing the first results in the development of Critical and other Public Interest Infrastructure Projects, focusing on vertical markets such as Energy Efficiency and the Upgrade of the Public Building Stock, Digital Transformation and Smart Water systems, mainly in water supply through smart water meters, as well as water recycling and reuse (desalination).

At the same time, our traditional business pillar, Advisory Services, was further strengthened. However, we are transforming from a Consulting company into a Project Development Services company, with further vertical integration in Energy and Critical Infrastructure, providing end-to-end Project Management, Project Finance and Construction Management services for the maturation and development of large-scale infrastructure projects.

These two business pillars of TREK, Infrastructure Development and Project Development Services , will be further strengthened in 2026 through both organic and inorganic growth (participations/acquisitions of third-party entities). We are already in advanced discussions with companies in Greece and abroad, which will enhance and create synergies across TREK’s two business lines. In 2025, 60% of revenues were generated by the Infrastructure Development segment and 40% by Project Development Services. In 2026, I estimate that this ratio will shift to 70% – 30%.

We have been listed on the Athens Stock Exchange (ATHEX) for just 3.5 months, yet we achieved the second-best share price performance in 2025 among all listed companies on ATHEX (Main and Alternative Markets). To date, I believe we are meeting the expectations of our new shareholders who placed their trust in TREK, whether the five major institutional investors who took positions in the Company or individual investors. In this context, I will propose to the Board of Directors the distribution of a dividend of €500,000, corresponding to 38.13% of the net profit for the 2025 fiscal year. Our objective is to further increase this percentage in 2026.

I would like to reassure our shareholders that despite the excellent results we delivered, and although I believe we will achieve even higher profitability growth in 2026, we are not a company that focuses exclusively on quarterly results, nor a company that pursues acquisitions at any cost merely for short-term market impressions. Instead, in 2026 we will deploy our resources decisively yet methodically, achieving maximum leverage and further meeting the expectations of our shareholders.

Dividend Proposal

The Board of Directors intends to propose to the Annual General Meeting of Shareholders to be held on 31 March 2026 the distribution of a dividend amounting to €500,000, corresponding to 38.13% of the net profit for the fiscal year. The ex-dividend date and dividend payment date have been announced in the financial calendar available on the Company’s official website (www.trek-development.eu).
